CORPORATE LAW:

 

Dissenters= Rights Clarification (S 136) (SL 2003-157): This bill adds language to make clear that amendments to articles of incorporation that allow actions to be taken without a meeting of all shareholders or without notice to all shareholders are not amendments that give rise to dissenters= rights.  This act becomes effective October 1, 2003.

Promote E-Commerce & E-Government (S 622) (SL 2003-233): This bill extends the circumstances under which State government agencies may accept electronic signatures under the Uniform Electronic Transactions Act or other laws.  Annual reports required of corporations under Chapter 55 to the Secretary of Revenue or the Secretary of State may be electronically filed with the Secretary of State.  The Secretary of State shall provide the electronic form necessary to make such a filing.  This act became effective June 19, 2003, when it was enacted into law.
